Asset planning and development involves expanding initial ideas into conceptual and preliminary designs that are sufficiently robust to support environmental permitting, stakeholder engagement, detailed engineering design activities, and, most importantly, decision making. Midgard's expertise, applicable to the full range of generation and transmission assets, include the following:

• Conceptual design and preliminary layouts
• Fuel source modeling (e.g., hydrology studies, solar irradiance, etc.)
• Rights acquisition and permitting guidance (e.g., Rights of Way, easements, water rights, etc.)
• Project cost estimates and sensitivities
• Financial analysis and business case development
• Stakeholder engagement and deal structuring

Acquisitions & Financing

Midgard’s expertise cover several strategic consulting services relating to asset acquisition, indepenent engineering roles, and project financing support. Midgard's services include:

• Aquisition Project Due Diligence: Independent engineering condition assessments, commercial contract reviews, technical project reviews, permitting reviews, energy/revenue validation, and risk analyses
• Lender's Engineer Role: Independent energy and revenue production estimates, technical reviews, permitting reviews, key agreement reviews, construction monitoring, draw requests, contingency tracking, certification of construction completion, and loan conversion support
• Policy Advice: Policy decisions regarding procurement, contracting, bidding, and acquisition strategies
• Negotiation Support: Negotiating with utilities and independent power producers
• Deal Structuring: Deal structuring to meet the needs of stakeholders (e.g.: non-conventional energy or construction deals to satisfy regulatory oversight restrictions)

Regulatory

Midgard has developed regulatory filings for submission to Canadian utilities commissions and provide expert witness testimony supporting regulatory processes. Midgard also provides support to regulatory agencies in evaluating transmission projects and system plans. Our regulatory consulting services include:

• Resource assessment and options
• Expert witness and analysis, including market pricing, resource generation options and alternatives, budget and cost reviews, transmission line electrical effects, and transmission project audits
• Writing and support of regulatory filings
• Responses to information requests
• System planning reviews

Project Management

Project management services include scoping, scheduling, and budgeting projects from conceptual design commissioning and transition to operations & maintenance. Midgard has particular expertise include project initiation, permitting, project designs (civil, mechanical, and electrical), development planning, inspections, maintenance, and safety evaluations. Project management services provided include:

• Managing consultants and contractors, including engineering firms, environmental consultants, and construction contractors
• Managing project development from early stage concepts and environmental permitting through to project commissioning and operations
• Construction management, including preparing tender packages with engineering specifications for EPC or EPC-M processes, evaluation of construction proposals, and contract negotiations
• Risk management, decision support, and cost reduction strategies
• Project status reporting and updates related to scope, schedule, cost, and risk
• Owner's representative on construction projects

Transmission & Distribution

Midgard has broad transmission and distribution experience ranging from technical design to project oversight and management. Specific areas of expertise include:

• Design and rehabilitation: Transmission and distribution line design with PLS-CADD software, construction packages, field inspections (design phase and as-built phase), and electromagnetic fields and electric effects modeling with BPA CAFE software
• Interconnections: Interconnections between utility T&D systems, industrial loads, and generators
• Development Support: Design, build, or upgrade scoping for transmission, oversight of construction firms building transmission infrastructure, establishing practical right-of-way alternatives, and overseeing the environmental and land rights acquisition consultants
• Regulatory: Transmission project audits and expert witness services
• System planning: Technical transmission and distribution system planning with PSS/E software and higher level system plans (e.g., 20 year plans)

Aboriginal/Stakeholder Engagement

Midgard and its principals have broad experience engaging Aboriginal Communities in respect of various types of infrastructure projects, including hydroelectric generation development, transmission development, and other energy infrastructure projects. Midgard has successfully facilitated building comprehensive and meaningful commercial relationships between Aboriginal Communities and private commercial interests, including assisting the negotiation of Impact Benefit Agreements, Participation Agreements, Monitoring Agreements, and Commercial Partnerships.

Hydroelectric O&M

Midgard offers hydroelectric operations maintenance expertise that include:

• Commissioning, operating, and maintaining hydroelectric facilities
• Routine and major maintenance planning
